Rules governing use of our website and services
1. Acceptance of Terms
By accessing thesosocial.com or engaging The So Social for any service, you agree to be bound by these Terms & Conditions (‘Terms’). If you do not agree, please discontinue use immediately. These Terms constitute a legally binding agreement under the Information Technology Act, 2000 and the Indian Contract Act, 1872.
2. About The So Social
The So Social is a digital marketing agency providing PR, SEO, content creation, performance marketing, branding, social media management, influencer marketing, and account-based marketing (ABM) services. We operate from Gurugram and Jaipur, India.
3. Services
3.1 All services are delivered subject to a signed Client Agreement or confirmed proposal. Verbal commitments do not constitute a service contract.
3.2 We reserve the right to decline any project at our sole discretion.
3.3 The scope of work, timelines, and deliverables for each engagement will be specified in the Client Agreement.
3.4 We may engage sub-contractors or freelancers to deliver parts of our services. We remain responsible for the quality of deliverables.
4. Intellectual Property
4.1 All creative work produced by The So Social (copy, designs, content, strategies) remains our intellectual property until full payment has been received.
4.2 Upon receipt of full payment, the agreed deliverables are assigned to the client. This excludes our proprietary methodologies, templates, and tools.
4.3 The client warrants that any materials, logos, or content they provide to us do not infringe third-party intellectual property rights.
4.4 We reserve the right to display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing.5. Client Responsibilities
Clients agree to:
• Provide accurate and complete information necessary for service delivery.
• Respond to requests for approvals or feedback within agreed timeframes.
• Grant necessary platform access (ad accounts, CMS, social media) required for the project.
• Ensure that any materials provided to us are lawful and do not infringe third-party rights.
• Maintain confidentiality of any proprietary strategies or methodologies shared by us.
6. Payment Terms
6.1 Fees are as specified in the signed proposal or Client Agreement.
6.2 A 50% advance payment is required before project commencement for new clients. The balance is due as per the payment schedule in the agreement.
6.3 Retainer clients are billed monthly in advance. Invoices are due within 7 working days of issuance.
6.4 Late payments attract an interest charge of 1.5% per month on the outstanding amount.
6.5 We reserve the right to pause or suspend services for accounts overdue by more than 14 days.
7. Limitation of Liability
7.1 We strive to achieve agreed results; however, we do not guarantee specific outcomes such as rankings, follower counts, or revenue figures, as these depend on factors outside our control.
7.2 Our total liability to any client for any claim shall not exceed the total fees paid by that client in the 3 months preceding the claim.
7.3 We are not liable for indirect, consequential, incidental, or punitive damages arising from our services.
7.4 We are not responsible for changes in third-party platform algorithms, policies, or ad account suspensions beyond our control.
8. Confidentiality
Both parties agree to maintain the confidentiality of each other’s proprietary information, business strategies, client lists, and any non-public information disclosed during the engagement. This obligation survives termination of services for a period of 2 years.
9. Termination
Either party may terminate an engagement by providing 30 days’ written notice. Fees for work completed up to the notice period are payable in full. Project assets created up to the point of termination will be released upon clearance of all outstanding invoices.
10. Website Use
10.1 You may use our website for lawful purposes only.
10.2 You may not attempt to hack, scrape, or interfere with our website systems.
10.3 We make no warranty that the website will be error-free or uninterrupted.
10.4 Links to third-party websites are provided for convenience; we are not responsible for their content.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Gurugram, Haryana. Courts in Gurugram shall have exclusive jurisdiction.
12. Amendments
We reserve the right to amend these Terms at any time. Continued use of our website or services after posting of revised Terms constitutes acceptance. Material changes affecting ongoing client engagements will be communicated in writing with 15 days’ notice.
